End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Musixverse Technologies PVT LTD ("Company", "We", "Us", or "Our"), governing your use of the Musix Driver Care software application ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to the terms and conditions of this Agreement, Musixverse Technologies PVT LTD grants you a limited, non-exclusive, non-transferable, revocable license to:

  1. Install and use one copy of the Software on a single computer owned or controlled by you, solely for your personal, non-commercial use.
  2. Make one backup copy of the Software, provided the backup copy is not installed or used on any computer.
  3. Use the Software in accordance with all applicable laws and regulations.

2. Restrictions

You may not:

  1. Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
  2. Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software or any rights therein to any third party.
  3. Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  4. Use the Software for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  5. Use the Software in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party's use of the Software.
  6. Attempt to gain unauthorized access to any systems or networks connected to the Software.

3. Intellectual Property

  1. The Software is protected by copyright laws and international treaty provisions. Musixverse Technologies PVT LTD retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.
  2. This Agreement does not grant you any rights to trademarks or service marks of Musixverse Technologies PVT LTD.
  3. You acknowledge that the Software and its structure, organization, and source code constitute valuable trade secrets of the Company.

4. Updates and Upgrades

  1. The Company may from time to time release updates, patches, or upgrades to the Software. These updates may be installed automatically or may require manual action.
  2. Any updates or upgrades provided to you shall be considered part of the Software and subject to the terms of this Agreement.
  3. The Company is not obligated to provide any updates, maintenance, or support for the Software.

5. Data Collection

  1. The Software may collect certain non-personally identifiable information about your computer hardware and software configuration to provide driver update services.
  2. All data collection practices are described in our Privacy Policy, which is incorporated into this Agreement by reference.
  3. By using the Software, you consent to the data collection practices described in the Privacy Policy.

6. Disclaimer of Warranties

  1. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  2. MUSIXVERSE TECHNOLOGIES PVT LTD DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  3. THE COMPANY DOES NOT WARRANT THAT THE DRIVERS PROVIDED THROUGH THE SOFTWARE WILL BE COMPATIBLE WITH YOUR SYSTEM OR THAT INSTALLING SUCH DRIVERS WILL NOT CAUSE ISSUES WITH YOUR HARDWARE OR SOFTWARE.
  4. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE USE OF THE SOFTWARE AND ANY DRIVERS INSTALLED THROUGH IT.

7. Limitation of Liability

  1. IN NO EVENT SHALL MUSIXVERSE TECHNOLOGIES PVT LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.
  2. THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
  3. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Termination

  1. This Agreement is effective until terminated. You may terminate it at any time by uninstalling the Software and destroying all copies in your possession.
  2. The Company may terminate this Agreement immediately if you fail to comply with any term of this Agreement.
  3. Upon termination, all rights granted to you under this Agreement shall cease, and you must immediately uninstall the Software and destroy all copies.
  4. Sections 3, 6, 7, 9, and 10 shall survive any termination of this Agreement.

9. Governing Law

  1. This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
  2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in India.
  3. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Musixverse Technologies PVT LTD regarding the use of the Software and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof. No amendment or modification of this Agreement shall be binding unless in writing and signed by a duly authorized representative of Musixverse Technologies PVT LTD.
